Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April10, 2018, Mr.Bradbury H. Anderson notified Waste Management,Inc. (the “Company”) of his decision to resign from his positions as Chairman of the Board and as a director of the Company, effectively immediately. Mr.Anderson resigned due to personal reasons and not due to any disagreement on any matter relating to the Company’s operations, policies or practices.

In accordance with the Company’s By-Laws, Mr.Thomas H. Weidemeyer, Chairman of the Nominating and Governance Committee of the Board of Directors, will perform the duties of the Chairman of the Board on an interim basis until a successor is elected by the members of the Board.
