(b) On December 31, 2018, in connection with his previously announced retirement, Roy M. Whitehead resigned as a member of the Board of Directors of Washington Federal, Inc. (the “Company”) and its wholly owned subsidiary, Washington Federal, N.A. Mr. Whitehead’s resignation was not a result of any disagreement with the Company.
