Item8.01 Other Events.

On December 13, 2016, Wabash National Corporation (the Company)
issued a press release announcing that the Board of Directors
approved the reinstatement of a dividend program under which the
Company will pay a regular quarterly cash dividend to
stockholders of its common stock. The initial dividend will be
payable January 26, 2017, to shareholders of record as of January
5, 2017. Future dividends will be subject to Board approval. A
copy of the Registrants press release is attached as Exhibit
99.1.
