As previously announced, on December16, 2016, Virtus Investment
Partners, Inc., a Delaware corporation (the Company),
entered into a definitive agreement to acquire RidgeWorth
Holdings LLC, Delaware limited liability company
(RidgeWorth).
For further information related to the proposed acquisition,
please see the Companys Current Report on Form 8-K dated December 22, 2016.
The acquisition of RidgeWorth has not yet been consummated and
there can be no assurance that the transaction will be
consummated as contemplated.
