Item 9.01 OTHER EVENTS

On September7, 2018, Virtu Financial,Inc. (the “Company”) announced that it had notified its lenders of its intention to make a voluntary prepayment of $74.0 million (the “Prepayment”) to the terms of its senior secured first lien term loan facility (the “Term Loan Facility”). The Company announced that it had commenced marketing of a repricing transaction for the Term Loan Facility that reflects a principal amount of $400.0 million and assumes the completion of the Prepayment.
