Item 5.07 Submission of Matters to a Vote of Security Holders.

The Company held its 2017 Annual Meeting of Stockholders (the
Annual Meeting) on June 20, 2017. A total of 15,179,664 shares of
common stock were entitled to vote, of which 14,324,284 shares
were present in person or by proxy at the Annual Meeting. Five
items of business were acted upon by the stockholders at the
Annual Meeting. The final voting results for each matter
submitted to a vote of stockholders at the Annual Meeting are set
forth below:
1. Stockholders elected Robert Lind, the Companys nominee for
Class I director, for a term expiring at the 2020 Annual Meeting

Virco Mfg. Corporation (Virco) is engaged in the designing, producing and distributing of furniture for a range family of customers. The Company is a manufacturer and supplier of moveable educational furniture and equipment for the preschool through 12th grade market in the United States.
