On May 25, 2017, the Company’s Board of Directors approved an
amendment to Section 7 of Article II of the Company’s bylaws,
reducing the quorum requirement for a meeting of shareholders to
one-third of the Company’s shares of common stock. Prior to the
amendment, the presence of a majority of the Companys outstanding
shares of common stock was required for a quorum.
