On February27, 2017, Viavi Solutions Inc. (the Company) issued a
press release announcing, among other things, that it intends to
offer, subject to market conditions and other factors,
$400million aggregate principal amount of Senior Convertible
Notes in a private placement to qualified institutional buyers to
Rule 144A under the Securities Act of 1933, as amended. The
Company also announced that it intends to use net proceeds from
the offering for refinancing, together with its cash on hand, its
outstanding 0.625% Senior Convertible Notes due 2033 (the 2033
Notes), including opportunistically repurchasing 2033 Notes
either concurrently with the offering or in the future, as well
as for general corporate purposes. In addition, the Company
announced that it intends to use up to $75 million of the net
proceeds from the offering to repurchase shares of its common
stock to its existing stock repurchase program. A copy of the
