Company) issued a press release announcing that its board of
directors has authorized management to pursue a tax-free spin-off
of shares of its subsidiary, Ploinks, Inc., which is the Companys
secure personal and private communication channel business. A
copy of the Companys press release is attached as Exhibit 99.1
and incorporated herein by reference.
