Versum Materials Announces Date of 2018 Stockholder Meeting and Declaration of Quarterly Cash Dividend

On October 31, 2017, Versum Materials, Inc. (the “Company”) issued a press release announcing that the Company will host its 2018 annual meeting of stockholders at 9:00a.m. Mountain Standard Time on Tuesday, January 30, 2018, at its offices located at 8555 South River Parkway, Tempe, Arizona 85284. The record date for the 2018 annual meeting of stockholders is December7, 2017. The press release also announced that the Company’s Board of Directors declared a quarterly cash dividend of $0.05 per share of common stock, payable on November27, 2017 to stockholders of record at the close of business on November13, 2017.A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.

Deadlines and Procedures for Submitting Stockholder Proposals

The date of the Company’s 2018 annual meeting of stockholders is scheduled to be more than 30 days earlier than the anniversary of the Company’s 2017 annual meeting of stockholders that was held on March 21, 2017. Therefore, the deadlines for stockholders to submit proposals and nominations of directors for the 2018 annual meeting of stockholders have been adjusted as described below.

to Rule 14a-8 under the Securities Exchange Act of 1934, as amended, stockholders may present proper proposals for inclusion in the Company’s 2018 proxy statement and proxy card by submitting their proposals to the Company not later than the close of business on November 10, 2017 (which the Company believes is a reasonable time before the Company begins to print and mail its proxy materials). In addition, all stockholder proposals requested to be included in the Company’s proxy statement and proxy card must also comply with the requirements set forth in the federal securities laws, including Rule 14a-8, in order to be included in the Company’s proxy statement and proxy card for the 2018 annual meeting of stockholders.

The Company’s Amended and Restated By-laws establish an advance notice procedure with regard to certain matters to be brought before an annual meeting of stockholders, including nominations of persons for election as directors and stockholder proposals submitted outside the processes of Rule 14a-8. To be presented at the 2018 annual meeting of stockholders, such a notice must be received by the Company not earlier than the close of business on October 2, 2017, and not later than the close of business on November 10, 2017 (the 10th calendar day following the day on which this public announcement of the date of such annual meeting was made).
