On February 10, 2017, Matthew J. Espe, a member of the Board of Directors of Veritiv Corporation (the “Company”), notified the Company of his decision to resign from the Company’s Board of Directors to pursue a chief executive officer role with a private equity portfolio company. Mr. Espe’s resignation was effective February 15, 2017.
