Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

W. Forrest Bell, the Chief Accounting Officer of Veritiv Corporation (“Company”), will be leaving the Company at the end of April2018.

Andrew E. Magley was appointed as Chief Accounting Officer, effective March5, 2018, succeeding Mr.Bell in this role.

Mr.Magley, 47, joined the Company in connection with the merger with Unisource Worldwide,Inc. (“Unisource”) in July2014. He previously served as the Company’s Treasurer since February2015 and as Vice President Financial Planning Analysis since July2014. Mr.Magley joined Unisource in January2000 where he served in various finance roles, including as Vice President Finance and Treasurer from July2013 to July2014 and as Vice President Financial Planning& Analysis from July2011 to July2013.
