Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

On August 28, 2017, Vectren Utility Holdings, Inc. ("VUHI"), a wholly owned subsidiary of Vectren Corporation, issued $100 million of Series A, Guaranteed Senior Notes (the "VUHI Notes") to various institutional investors in a private placement, to a Note Purchase Agreement dated July 14, 2017. The VUHI Notes are due August 28, 2032 with an interest rate of 3.26 percent. The VUHI Notes are jointly and severally guaranteed by Indiana Gas Company, Inc., Southern Indiana Gas and Electric Company and Vectren Energy Delivery of Ohio, Inc., wholly owned subsidiaries of VUHI.

The Note Purchase Agreement contains customary representations, warranties, and covenants and was attached as Exhibit 4.1 to a Current Report on Form 8-K filed on July 17, 2017.
