Item 7.01 concerning the recent developments, unaudited pro forma and other financial information provided to certain Valvoline Inc. (“Valvoline”) investors in connection with the Notes Offering (as defined in Item 7.01 below) is hereby incorporated into Item 2.02 by reference.

Item7.01. Other Information.

On August3, 2017, Valvoline commenced an offering (the “Notes Offering”) of $400million aggregate principal amount of senior notes due 2025 (the “Notes”). The Notes will be unsecured obligations of Valvoline and will be guaranteed on an unsubordinated unsecured basis by certain of Valvoline’s domestic subsidiaries.

Valvoline intends to use the net proceeds from this offering to make a voluntary contribution to its tax-qualified U.S. domestic pension plan.

The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The Notes will be offered and sold only to qualified institutional buyers to Rule 144A under the Securities Act, and outside the United States to Regulation S under the Securities Act.

In connection with the Notes Offering, Valvoline intends to disclose certain information to prospective investors in a preliminary offering memorandum dated August3, 2017. to Regulation FD, Valvoline is furnishing the information contained in Exhibit99.1 to this report, which is incorporated herein by reference.
