Item5.02. Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On December6, 2016, Karl Heinz Salzburger, Vice President Group
President VF International, notified V.F. Corporation (VF) of his
intention to retire at the end of 2017. Mr.Salzburger will
continue to serve in his current role through the first quarter
of 2017. For the remainder of 2017, he will serve as a Special
Advisor to the Chief Executive Officer, focusing on a successful
transition of responsibilities in VFs international organization.

On December7, 2016, VF issued a press release announcing
Mr.Salzburgers planned retirement, a copy of which is attached as
Exhibit 99.1 and incorporated herein by reference.
