URBAN OUTFITTERS, INC. (NASDAQ:URBN) Files An 8-K Submission of Matters to a Vote of Security Holders
Item 5.07 of the Current Report on Form 8-K filed by Urban Outfitters, Inc. (the “Company”) on May30, 2017 (the “Original Form 8-K”), to disclose the Company’s decision regarding how often it will hold future shareholder advisory votes to approve executive compensation. Item 5.07. Submission of Matters to a Vote of Security Holders.

As reported in the Original Form 8-K, at the Company’s Annual Meeting of Shareholders held on May23, 2017 (the “Annual Meeting”), the Company’s shareholders recommended, consistent with the recommendation of the Board of Directors, that the Company hold future advisory votes to approve executive compensation every three years. After considering the results of the shareholders’ vote at the Annual Meeting, on August22, 2017, the Board of Directors determined that it is in the best interest of the Company and its shareholders to hold an advisory vote to approve executive compensation annually until the next required shareholder vote on the frequency of future advisory votes to approve executive compensation.
