On August 22, 2019, Upland Software, Inc., a Delaware corporation (the “Company” or “Upland”), issued a press release announcing the August 21, 2019 completion of its acquisition of Cimpl Inc., a Canadian corporation (“Cimpl”), to a Stock Purchase Agreement dated August 21, 2019 (“Purchase Agreement”), by and among Upland, Upland Software Inc., a Canadian corporation and a wholly owned subsidiary of the Company (“Upland Canada”), Cimpl and the Stockholder of Cimpl. to the Purchase Agreement, Upland Canada purchased 50% of outstanding shares of Cimpl. The purchase price paid for Cimpl was $23.1 million in cash at closing and a $2.6 million cash holdback payable in 12 months (subject to indemnification claims).
