Effective as of the close of business on May 2, 2018, Mr. Gary F. Goode resigned as a member of the Board of Directors of the Company. Mr. Goode served as a director of the Company since 2003. His resignation was not due to any disagreement with the Company or Company management. The Company has determined that it will not immediately fill the vacancy created by Mr. Goode’s resignation, and simultaneously with his resignation, reduced the size of the Company’s Board of Directors to eight members.
