(the merger or transaction) of Universal American
Corp., a Delaware corporation (Universal American), by
WellCare Health Plans, Inc., a Delaware corporation
(WellCare), Universal American issued a written

Securities Exchange Act of 1934, as amended (the Exchange
Act), a copy of which is attached hereto as Exhibit 99.1.
