5.02(b). Departure of Certain Officers.

Stephen N. Landsman, Executive Vice President and General Counsel of Univar Inc. (the “Company”) notified the Company on March 1, 2017, that he would resign his position, in order to accept a position with Syngenta AG as its head of mergers and acquisitions. Mr. Landsman will continue in his role until May 2017 to assist in the transition of his replacement, who will be named at a later date.
