Submission of Matters to a Vote of Security
Holders.
On December 14, 2016, Ubiquiti Networks, Inc. (the
Company) held its Annual Meeting of Stockholders (the Annual
Meeting). The stockholders voted on the following two proposals
and cast their votes as described below.
Proposal 1: To elect one Class II director to serve until
the third annual meeting of the Companys stockholders following
his election or until his successor is duly elected and
qualified, subject to earlier death, resignation or removal. This
proposal was approved.

As previously disclosed in the Supplement dated December
8, 2016 to the Proxy Statement for the Annual Meeting filed by
the Company with the Securities and Exchange Commission on
December 8, 2016, the Board of Directors of the Company withdrew
Proposal 2 (Ratification of the Appointment of Independent
Registered Public Accounting Firm) from the stockholder vote at
the Annual Meeting.
