(b)    Refusal to Stand for Re-election to the Board of Directors.

On April 12, 2017, Scott Raney informed us that he will not stand for re-election as a member of the Board of Directors (the “Board”) of Twilio Inc. (the “Company”) at the Company’s upcoming 2017 annual meeting of stockholders. The Company thanks Mr. Raney for his years of service as a member of the Board.
