On May 22, 2017, Holger Bartel, who is the Company’s Global CEO and who previously served as Chairman of the Board and Global CEO, left the Company’s board of directors. Ralph Bartel, who founded Travelzoo in 1998 and served as Travelzoo’s CEO until 2008, will serve as the new Chairman of the Board. The Company believes that the separation of the roles of Chairman of the Board and CEO represents best practice in corporate governance. In connection with this change, Holger Bartel’s salary was increased from $1 to $232,000 per year (annualized). The difference between the old and the new salary is the same as the annual fee which Holger Bartel previously received as Chairman of the Board. The total compensation which Holger Bartel receives from Travelzoo remains the same.
