Item 5.07. Submission of Matters to a Vote of Security Holders.

The Annual Meeting of Stockholders of Trans World Corporation
(the Company) was held on June 8, 2017 for the previously noticed
purposes of: (i) electing six (6) directors to hold office until
the next annual meeting of stockholders; (ii) holding an advisory
vote on resolutions regarding compensation of the named executive
officer, including compensation to the Companys Chief Executive
Officer (CEO) on a change in control; and, (iii) ratifying the
appointment of WithumSmith Brown as the Companys independent
registered public accountants for the fiscal year ending December
31, 2017. The final tally of the votes at the Annual Meeting on
each proposal is set forth below.
Proposal No.1 – All of managements nominees for director
as named in the Companys Proxy Statement were elected by the

Trans World Corporation (TWC) is primarily engaged in the gambling business in the Czech Republic and in the hospitality business in Germany. The Company operates through two segments: casino and hotel. The two independent casinos and Route 59 Complex are included in the casino segment. The hotel segment comprises the Hotel Columbus and Hotel Freizeit Auefeld. The Company is involved in the acquisition, development and management of gambling establishments, featuring live and mechanized gaming, including video gaming devices, such as video poker machines, primarily in Louisiana.
