Item 5.03.

On June 16, 2017, Tonix Pharmaceuticals Holding Corp. (the
Company) filed a Certificate of Amendment to its Articles of
Incorporation, as amended, with the Secretary of State of the
State of Nevada to increase the number of authorized shares of
the Companys common stock from 15,000,000 to 150,000,000 shares
(the Charter Amendment).

As disclosed in Item 5.07 of this Current Report on Form 8-K, the
Charter Amendment was approved by the Companys shareholders at
the 2017 annual meeting of shareholders held on June 16, 2017.
The foregoing description of the Charter Amendment does not
purport to be complete and is qualified in its entirety by
reference to the full text of the Charter Amendment, a copy of
which is filed as Exhibit 3.1 to this Current Report on Form 8-K
and incorporated in this Item 5.03 by reference.

On June 16, 2017, the Company held its annual meeting of
shareholders, at which the Companys shareholders approved four
proposals and did not approve three proposals. Shareholders
representing 5,636,028 shares, or 75.3%, of the common shares
outstanding as of the April 24, 2017 record date were present in
person or were represented at the meeting by proxy.The proposals
are described in detail in the Companys proxy statement filed
with the Securities and Exchange Commission on May 2, 2017 to
Section 14(a) of the Securities Exchange Act of 1934, as amended.

The Companys shareholders elected eight individuals to the Board
of Directors as set forth below:

The Companys shareholders ratified the appointment of EisnerAmper
LLP as the Companys independent registered public accounting firm
for the fiscal year ending December 31, 2017, as set forth below:

The Companys shareholders approved the Tonix Pharmaceuticals
Holding Corp. 2017 Stock Incentive Plan, as set forth below:

The Companys shareholders approved an amendment to the Companys
Articles of Incorporation to increase the Companys authorized
shares of common stock from 15,000,000 to 150,000,000:

Companys Articles of Incorporation to increase the maximum size
of the board of directors:
