On May10, 2017, Mr.JosephA. Ripp, Executive Chairman of Time Inc.
(the Company), and the Company mutually agreed that
Mr.Ripp will not stand for re-election at the 2017 Annual Meeting
of Stockholders and that effective on the date of the Companys
2017 Annual Meeting of Stockholders Mr. Ripp will retire from the
Board of Directors (the Board) and the Company. In
addition, Sir Howard Stringer notified the Board of his decision
to retire from the Board at the end of his current term and not
stand for re-election at the Companys 2017 Annual Meeting of
Stockholders.
