On July 27, 2017, Mr. Robert Martinez informed the Board of Directors of the Registrant that he is retiring and would not stand for re-election at the Registrant’s 2017 Annual General Meeting of Shareholders. Mr. Martinez’s determination not to stand for re-election did not arise from any disagreement with the Registrant, known to an executive officer of the Registrant, or from any matter relating to the Registrant’s operations, policies or practices. to Mr. Martinez’s determination not to stand for re-election, Mr. Martinez will effectively resign from the Board on September 25, 2017 immediately following the Registrant’s Annual General Meeting of Shareholders and the size of the Board will be reduced from six directors to five.
