On and effective as of April 2, 2018, the Board of Directors of TIER REIT, Inc. (the “Company”) adopted an amendment (the “Amendment”) to the Second Amended and Restated Bylaws of the Company to permit the stockholders of the Company to amend the Company’s bylaws by the affirmative vote of the holders of a majority of the outstanding shares of the Company’s common stock to a binding proposal properly submitted by any stockholder or group of up to 15 stockholders holding at least 3% of the outstanding shares of the Company’s common stock for at least one year. A stockholder proposal submitted may not, without the approval of the Board of Directors, alter or repeal (1) Article XIII of the bylaws, which provides for indemnification of directors and officers of the Company, or (2) Article XIV of the bylaws, which addresses the amendment of the bylaws.
