Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 23, 2019, Stephen A. Snider notified Thermon Group Holdings, Inc. (the “Company”) that he intends to resign from his position as a member of the Company’s Board of Directors (the “Board”), effective March 31, 2019. Mr. Snider currently serves as a member of the Board’s Compensation Committee and Nominating and Corporate Governance Committee. Mr. Snider will perform his current duties until the effective date of his resignation.

Mr. Snider’s decision to resign was for personal reasons and did not involve any dispute or disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.
