Entry into a Material Definitive Agreement.

On June2, 2017, The Valspar Corporation (Valspar) entered into
supplemental indentures to the indentures governing its 7.250%
Notes due 2019 (the 2019 Notes), 4.200% Notes due 2022 (the 2022
Notes), 3.300% Notes due 2025 (the 2025 Notes), 3.950% Notes due
2026 (the 2026 Notes) and 4.400% Notes due 2045 (the 2045 Notes
and, collectively with the 2019 Notes, the 2022 Notes, the 2025
Notes and the 2026 Notes, the Existing Notes) following, as
applicable, the receipt of consents from the requisite holders of
each series of Existing Notes by The Sherwin-Williams Company, on
behalf of Valspar. The supplemental indentures to the indentures
governing the Existing Notes eliminated certain of the covenants,
restrictive provisions and events of default relating to the
Existing Notes.
