(b) On March 27, 2017, the registrant announced that Christian A.
Hendricks, the registrants Vice President, Strategic Initiative,
will retire effective November 30, 2017. Mr. Hendricks retirement
will be treated as termination for Good Reason under his existing
agreements with the registrant. The registrant issued a press
release on March 27, 2017 announcing Mr. Hendricks decision to
retire, which is attached as Exhibit 99.1 to this Report and is
incorporated herein by reference.
