Item5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.

On February28, 2017, the Board of Directors (the Board) of The
Goodyear Tire Rubber Company (the Company) approved amendments to
the Companys Code of Regulations (the Regulations) to implement
proxy access for eligible shareholders of the Company. In
particular, Article II, Section2A was added to the Regulations
and permits an eligible shareholder, which includes an eligible
group of 20 or fewer shareholders, owning at least 3% of the
number of outstanding shares of the Companys common stock
continuously for at least three years to nominate and include in
the Companys proxy materials director nominees constituting up to
20% of the number of directors then serving on the Board,
provided that the shareholder(s) and the nominee(s) satisfy the
requirements specified in the Regulations.
