(d) On December21, 2016, The Goldman Sachs Group, Inc. (the
Registrant) appointed Ellen J. Kullman as an independent member
of the Registrants Board of Directors, effective December21,
2016. Ms.Kullman has also been appointed to each of the
Registrants Compensation, Corporate Governance and Nominating,
and RiskCommittees. With the appointment of Ms.Kullman, the
Registrants Board consists of fourteen directors.
