Item 2.03 Creation of a Direct Financial Obligation or an
Obligation under an Off Balance Sheet Arrangement of a Registrant

On April 28, 2017, the Company issued $400 million of senior
unsecured notes, which bear interest at a rate of 5.125% per
annum and mature on May 15, 2025. The proceeds of the 5.125%
Senior Notes were used to repay the existing $391 million term
loan B due in 2020, to pay related fees and expenses and for
general corporate purposes. A copy of the Indenture is filed as
Exhibit 10.1.
Additionally, on April 28, 2017, the Company entered into a Third
Amended and Restated Credit Agreement increasing its capacity by
$25 million to $125 million, and extending the maturity to April
2022. A copy of the amended and restated credit agreement is
filed as Exhibit 10.2.
