Other Events

On November 28, 2016, Texas Capital Bancshares, Inc. (the
Company) issued a press release announcing that it has priced a
public offering of 3,000,000 shares of its common stock. The
common stock is being offered to a prospectus supplement filed as
part of an existing registration statement on Form S-3 (File
No.333-196339). The Company expects the sale of the shares of
common stock to close on December 2, 2016, subject to customary
closing conditions. The Company expects gross aggregate proceeds
of this offering, before expenses, of approximately $210.0
million, or $241.5 million if the underwriters exercise their
option to purchase additional shares in full. The underwriters
will have a 30-day option to purchase up to an additional 450,000
shares of common stock from the Company.

report.
