On May 16, 2018, TerraForm Power, Inc. (the “Company”) received a notification letter from Nasdaq (“Nasdaq Letter”) indicating that the Company no longer complied with Nasdaq Listing Rule 5250(c)(1) as a result of the Company’s failure to timely file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2018 (the “First Quarter Form 10-Q”) with the Securities and Exchange Commission (the "SEC"). The Company filed its First Quarter Form 10-Q with the SEC on May 21, 2018, and as a result, Nasdaq informed the Company that Nasdaq determined that the Company has regained compliance with Nasdaq Listing Rule 5250(c)(1) and that the matter is now closed.
Item 7.01 Regulation FD Disclosure.
On May 21, 2018, the Company issued a press release announcing that, on May 16, 2018, it received the Nasdaq Letter with respect to its First Quarter Form 10-Q.
