Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) As previously reported, Heidi M. Wilson, Senior Vice President, General Counsel and Secretary of the Company submitted her notice of retirement on January 5, 2017. Ms. Wilson had planned to retire from the Company on July14, 2017. The Company’s process to appoint a successor General Counsel is ongoing. As a result, Ms. Wilson has agreed to postpone her retirement and continue in her current position through November 1, 2017. Ms. Wilson will receive a one-time stay bonus payment in the amount of $70,000 to remain with the Company until November 1, 2017, or such earlier date as mutually agreed upon by Ms. Wilson and the Company, to be paid at the time of her retirement from the Company.
