On July 26, 2017, Team, Inc. issued a press release announcing the pricing of its private offering to initial purchasers of its $200.0 million aggregate principal amount of 5.00 % Convertible Notes due 2023 (the “Notes”). Team has also granted the initial purchasers an option to purchase up to an additional $30.0 million aggregate principal amount of the Notes. The Notes will be offered only to qualified institutional buyers (as defined in the Securities Act of 1933, as amended (the “Securities Act”)) to Rule144A under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
