On May16, 2017, TCG BDC, Inc. (the
Company) held its 2017 Annual Meeting
of Stockholders (the Annual Meeting).
The following two proposals were voted on at the Annual Meeting:
(1)the election of Michael A. Hart as a director to serve for a
three-year term and until his successor is duly elected and
qualified at the Companys 2020 Annual Meeting of Stockholders or
until his earlier death, resignation or removal; and (2)the
ratification of the selection of Ernst Young LLP as the Companys
independent registered public accounting firm for the fiscal year
ending December31, 2017.

Stockholders of record at the close of business on March20, 2017
were entitled to vote at the Annual Meeting. As of March20, 2017,
the record date, there were 41,708,155 shares of common stock
outstanding and entitled to vote. 21,347,828 shares of common
stock of the Company were present or represented at the meeting,
constituting a quorum.

The final voting results for each of the proposals submitted to a
vote of stockholders at the Annual Meeting are set forth below.
Each proposal was approved by the requisite vote.
