On January 28, 2019, TCF Financial Corporation (“TCF”) and Chemical Financial Corporation (“Chemical”) issued a joint press release announcing the execution of the Agreement and Plan of Merger, dated as of January 27, 2019, by and between TCF and Chemical to which, upon the terms and subject to the conditions set forth therein, TCF will merge with and into Chemical, with Chemical continuing as the surviving entity. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

In addition, TCF and Chemical provided supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. A copy of the investor presentation is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
