On August 7, 2017, Tallgrass Energy Partners, LP ("TEP") issued a press release announcing that through its subsidiary, Tallgrass Midstream, LLC, it has closed on the acquisition of Outrigger Energy LLC's crude oil gathering system in the Powder River Basin for approximately $36 million, subject to potential adjustments specified in the purchase agreement. In addition, the press release provided certain other announcements by TEP related to the acquisition. A copy of the press release is furnished with this Form 8-K as Exhibit 99.1 and incorporated into this Item 7.01 by reference.
