Effective December 31, 2018, Synthesis Energy Systems, Inc. (the “Company”) terminated the consulting agreements that it had in place with Lorenzo Lamadrid, Robert Rigdon, Harry Rubin and Robert Anderson, each of whom is a member of the board of directors of the Company.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective December 31, 2018, Charles M. Brown resigned from the Company’s board of directors and each of its committees on which he served. The resignation of Mr. Brown is not due to any disagreement with the Company. The Company greatly appreciated his participation and advice over the past four years.
