Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers, Compensatory Arrangements of Certain Officers.

On January 18, 2018, Paul C. Kelly notified the Board of Directors (the “Board”) of Surna Inc. (the “Company”) of his resignation as the Company’s Chief Financial Officer and Treasurer effective January 18, 2018. Mr. Kelly also resigned as the Company’s designated Principal Financial and Accounting Officer effective January 18, 2018.

Mr. Kelly’s resignation was a personal decision and was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.

The Company does not believe the departure of Mr. Kelly will impact the completion of the Company’s 2017 audit or the timely filing of the Company’s Annual Report on Form 10-K for the year ended December 31, 2017.
