On April 4, 2019, Stage Stores, Inc. (the “Company” or “registrant”) issued a news release announcing that the Company received written notification from the New York Stock Exchange (the “NYSE”) confirming that it has regained compliance with the continued listing standard set forth in Section 802.01C of the NYSE Listed Company Manual (“Section 802.01C”).The Company regained compliance under Section 802.01C after its closing share price on March 29, 2019 and its average closing share price for the consecutive 30 trading-day period ending March 29, 2019 both exceeded $1.00. A copy of the news release is attached to this Form 8-K as Exhibit 99.1.

Stage Stores, Inc. operates specialty department stores mainly in small and mid-sized towns and communities. The Company’s department stores offer a range of brand name and private label apparel, accessories, cosmetics, footwear and home goods. The Company operates approximately 830 specialty department stores in over 40 states under the BEALLS, GOODY’S, PALAIS ROYAL, PEEBLES and STAGE nameplates and a direct-to-consumer business.
