Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November2, 2017, the board of directors (the “Board”) of Square, Inc. (the “Company”) approved certain amendments to the Company’s Bylaws (as amended, the “Amended and Restated Bylaws”). These amendments were primarily administrative, and included certain changes regarding requirements for nominees for directors and certain changes regarding the requirements for notice of meetings of the Board. The Amended and Restated Bylaws were effective immediately upon approval by the Board.

A copy of the Amended and Restated Bylaws is attached to this Current Report on Form 8-K as Exhibit 3.1 and is incorporated herein by reference.
