Submission of Matters to a Vote of Security Holders.
At the SPX Corporation (the Company) 2017 Annual Meeting of
Stockholders (the Annual Meeting) held on May 8, 2017, the
proposals listed below were submitted to a vote of the
stockholders through the solicitation of proxies. The proposals
are described in the Companys proxy statement. The voting results
for each proposal are set forth below.
As of the record date for the Annual Meeting, there were
42,787,058 shares of common stock outstanding and entitled to
vote on each matter presented at the Annual Meeting. At the
Annual Meeting, 38,631,728 shares of common stock, or
approximately 90.29% of the outstanding common stock entitled to
vote, were represented in person or by proxy.
Proposal 1:>>The Companys stockholders elected the
following nominees named in the Companys proxy statement to serve
as directors until the 2020 Annual Meeting of Stockholders or
until a successor is duly elected and qualified. The results of

In accordance with the results of this advisory vote on the
frequency of future advisory votes on the compensation of the
Companys named executive officers, the Companys Board of
Directors has made the determination to continue to hold the
advisory vote on the compensation of the Companys named executive
officers on an annual basis.
Proposal 4:>>The Companys stockholders ratified the
appointment of Deloitte Touche LLP as the Companys independent
registered public accounting firm for 2017. The results of the
