Item 1.01 Entry into a Material Definitive Agreement.

On February 9, 2018, Sprint Corporation’s wholly-owned subsidiary, Sprint Communications, Inc. (the “Borrower”), executed a consent (the “Consent”) with JP Morgan Chase Bank, N.A., as administrative agent (the “Administrative Agent”) for the Lenders under the Credit Agreement, dated as of February3, 2017 (the “Credit Agreement”), among the Borrower, the guarantors party thereto, the lenders party thereto (the “Lenders”) and the Administrative Agent.

to the Consent, (i)the Borrower’s guaranty on a senior unsecured basis of senior unsecured notes issued by Sprint Corporation is permitted under Section6.01(p)(i) of the Credit Agreement, subject to compliance with that provision and (ii)the Administrative Agent is authorized to effect the release of the property of the Borrower from the collateral securing obligations under the Credit Agreement.
