Item5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.
On May30, 2017, the board of directors of Spark Networks, Inc.
(the Company) approved of amended and restated bylaws of the
Company effective as of such date (the Amended and Restated
Bylaws). The Amended and Restated Bylaws eliminate Article VII
from the Companys prior bylaws, which had set forth restrictions
on the transfer of the Companys securities in order to address
certain tax benefits of the Company. Subsequent articles in the
bylaws were renumbered and no other changes were made to the
Companys bylaws. A copy of the Companys Amended and Restated
Bylaws are attached hereto as Exhibit 3.1 and is incorporated
herein by reference.
