Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 1, 2017, Sam Dawson, a member of the Board of Directors of Southside Bancshares, Inc. (the “Company”) notified the Company of his intention to resign from the Company’s Board of Directors for personal reasons, effective March 1, 2017. Mr. Dawson did not notify the Company of any disagreement with the Company on any matter relating to its operations, policies or practices. Following Mr. Dawson’s resignation as a director, the Board of Directors reduced the size of the Board from fourteen to thirteen directors.
