On April25, 2019, Southern Copper Corporation (the Company or SCC), held its 2019 Annual Meeting of Stockholders. The total outstanding voting securities eligible to vote were 773,044,469 shares of Common Stock. 748,968,732 shares, constituting approximately 96.89 % of the total outstanding shares eligible to vote at the meeting, were present in person or by proxy. The stockholders were asked to take the following actions:

1.To elect our ten directors, who will serve until the 2020 annual meeting.

2.To ratify the selection by the Audit Committee of the Board of Directors of Galaz, Yamazaki, Ruiz Urquiza S.C., a member firm of Deloitte Touche Tohmatsu Limited, as our independent accountants for calendar year 2019.

3.To approve, by non-binding advisory vote, our executive compensation.

Southern Copper Corporation is an integrated copper producer. It produces copper, molybdenum, zinc and silver. It operates through three segments: Peruvian operations, which include the Toquepala and Cuajone mine complexes and the smelting and refining plants, including a metals plant industrial railroad and port facilities that service both mines; Mexican open-pit operations, which include the La Caridad and Buenavista mine complexes and the smelting and refining plants, including a metals plant and a copper rod plant and support facilities that service both mines, and Mexican underground mining operations, which include over five underground mines that produce zinc, copper, silver and gold, a coal mine that produces coal and coke, and a zinc refinery.
